System Integration Design Software Manufacturer Announces Management Reorganization

Concord, CA, November 15, 2004 - As the next step in a multiphase corporate growth and development plan, D -Tools, Inc. President and CEO Adam Stone announced today the completion of the company's management restructuring program. By implementing the plan, Stone is positioning the fast -growing California firm to remain the dominant system integration design software manufacturer in the industry, while continuing to distance itself from smaller competitors offering limited software options.

According to Stone, the reorganization includes a shift in duties among current officers and the appointment of a new Director of Marketing Communications. In a recent announcement, Steve Collard, D -Tools Chief Financial Officer, was tapped to expand his responsibilities and assume the position of Chief Operating Officer. As COO/CFO, Collard will work closely with Stone in steering the company through the implementation of its growth plan.

Matt Rubenstein, Vice President of Marketing and Sales will oversee the company's aggressive move into developing the commercial application sector. "The company has adopted some serious goals to provide commercial integrators with a whole new option in tools built upon the AutoCAD platform. Our partnership with Autodesk is progressing on schedule and will result in the introduction of a new level of system integration design software that will have a huge impact on the industry during the coming year," said Rubenstein.

Bill Battaglia will remain as Director of Software Development and Seth Rubenstein will continue to oversee all field sales activities as Director of Sales.

In the announcement, Stone revealed that he has restructured the company's marketing communications functions and appointed Jeff Rader as the firm's Director of Marketing Communications. Rader comes to D -Tools from Longs Drug Stores Inc., a Fortune 500 company, where he served 13 years as Communications Manager. The move to restructure the communications functions is in preparation for the company's launch of several new products and the development of the commercial segment in the months ahead.

In commenting on this new mix of operational responsibilities, Stone said, "The recent release of our System Integrator (SI4) software during the CEDIA EXPO marked the beginning of what we anticipate will be enormous growth for the company during the next several years. SI4 will become the backbone for other major product enhancements and introductions coming over the next 12 -18 months. To fully leverage the depth of experience in our management team, we felt it was time to rebalance our resources and fill in a few gaps in our leadership structure to accomplish everything we have planned."
