PANJA EXTENDS THE INTERNET BEYOND THE PC
Formerly AMX, Panja brings Internet "Multitainment" and more to over 2 billion appliances and devices

Dallas, TX, July 19,1999 -- The Internet is always on, but without a PC or some specially-dedicated hand-held device, you can’t get to it. Even with these limited tethers, the Web’s true potential remains untapped ... until today.

Panja is a breakaway leader in a new category. A new kind of Internet company, with a new name and a new way of thinking about what the Internet has to offer, Panja is liberating the Net from its PC constraints and delivering it to the appliances and systems in its customers’ homes and offices.

Creating a whole new distribution model for entertainment, Panja announced today it is first giving consumers instant random access to exploding Internet audio and video content ... and sending it right to the entertainment devices in our homes today (see related release).

Panja’s Vision

"IP technology is available now to free the tremendous benefits of the Internet from the shackles of the PC,"

Panja Chairman John McHale said.

"The business growth potential of the Internet is mind-boggling. Taking the Internet beyond the PC in the home and office will change the way we live, work and play."

Panja carries forward the best traits of its forebear, AMX Corporation, a product-integration company with a track record of almost two decades of profitable, double-digit revenue growth. By melding long-time industry-leading AMX and its subsidiary, PHAST, Panja’s vision is to deliver integration technology to the home and business. The company’s unique approach is to link its network control systems integrally to the Internet.

Panja holds coding knowledge of more than 20,000 appliances and devices. The company also has established worldwide leadership in network-control integration for residential, commercial and educational applications. With nearly 1,600 consumer and enterprise dealers and over 17 years of control and automation experience, no other company has a deeper understanding of consumer and commercial appliances.

Panja for Enterprise Customers

Getting beyond the PC in business enterprise applications means new ways of tapping into the growing e-commerce revolution, such as expanding capabilities for inventory control from existing devices. In one breakthrough application of this concept, Internet, Intranet and Extranet information can be extended into devices and systems from the shop floor to conference and training rooms to the executive office.

Panja in the Home

"As the dominant provider of control automation, we understand what people want and need. In the home, we are creating the broadband IP home and supporting a growing Web lifestyle among consumers. The driving force is bandwidth. Broadband is the key,"

said Joe Hardt, CEO and President of Panja.

Distribution of enriched Internet content through unique home networking and control, Panja in effect becomes the "IP proxy" turning every appliance into an Internet appliance, Hardt said.

A Management Team with Proven Leadership

Panja’s chairman is John McHale, whose vast industry experience includes NetWorth and NetSpeed -- leading networking and broadband delivery companies later acquired by Compaq and Cisco Systems respectively. Industry veteran Hardt remains at the helm as CEO and President, where he has served AMX since 1993.

Panja also is steered by a savvy management team that includes Tom Hite, VP, General Manager of Panja’s consumer line of business. Hite is the chief architect of new Panja technology and systems. Randy Riebe will serve as VP, General manager and head the Enterprise division as he had with AMX. David Chisum, AMX’s Chief Financial Officer, continues as Panja CFO, while Dave Benesh remains as VP, Panja Operations. Recently joining Panja are two veteran technology marketers: Charlene Rogers, Vice President of Marketing, and Gordon Stark, Vice President of Marketing Communications.

Key Partnerships with High-Tech Leaders

A key ingredient to Panja’s winning strategy is the partnerships it has formed with leading technology companies in numerous industries. Two of Panja’s most valuable partners are Infoseek Corporation and Cisco Systems (see related release). As the content provider for Panja’s key broadband systems, Infoseek delivers only the most relevant and useful information through the Panja 1000 system. This content feeds several of Panja’s most promising services, Broadband BlastTM and PanjaCastTM. Cisco supports Panja’s services with co-branded cable modems. These broadband cable modems ensure that streaming content and media can travel to and from customers’ home quickly and reliably.

"This is win-win for everyone -- for Panja, for Infoseek but most of all for the consumer,"

said Infoseek Chairman Steve Kirsch.

"Panja’s strategy is very exciting, and is closely aligned with our view of how personal networks will evolve"

,said Robba Benjamin, vice president and general manager of Cisco Systems’ Consumer Line of Business.

Additionally, Panja is leveraging its relations with scores of other industry leaders through its Panja Partners Program (P3). In security systems, it is joined by companies such as Europlex, Apex, ITI and Napco; Lutron and Vantage in the lighting industry; Harmon in A/V; and Enerzone and HAI in the HVAC arena.

A Large OpportunityFor Panja

Panja is strengthening its leadership in the integration market at a time when the market is ripe for high-tech equipment--both in the residential and business spheres. Case in point, there are more than 100 million computers in U.S. homes today--but there are more than 2 billion consumer appliances and devices that are a fingertip away from putting the Internet to use in the way we live our lives.

Consumer technology spending has exploded, and some analysts close to the industry predict that U.S. consumers will pay more for Internet services by 2001 -- nearly $16.5 billion -- than they will for computer hardware. Research shows there is a growing market for Panja products and services, as access to high-speed broadband grows.

The number of consumer devices and appliances outnumbers PCs 40 to 1. According to Forrester Research, alternative PC devices are expected to be used in 18 million households by 2003, with high-speed broadband access available to some 20 million U.S. homes in that time -- from just a million today. These consumer trends mean success for Panja, the company that is integrating these popular home and business appliances.

Panja ( www.panja.com ) is extending the Internet beyond the PC and for the first time linking home and business appliances seamlessly and meaningfully to Net content and services. Panja is a new type of Internet company, with leading-edge technology that is slashing the bonds of the PC and cutting through marketplace clutter to offer remote control solutions for the Broadband IP home and business. Panja is creating a whole a whole new market for entertainment and creating opportunity for content providers, people who build broadband infrastructure and consumers. Panja is cutting away the complex technology currently required to unleash the potential of the Internet and to replace it with simple, intuitive devices that allow consumers to focus on the Net’s information and its practical uses.
